Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Overdesk, Overdesk Nexus, Overdesk Checklist, and the overdesk.xyz website (together, the “Service”), operated by Overdesk (“we,” “us,” or “our”). By downloading, installing, purchasing, or using the Service, you agree to these Terms. If you do not agree, please do not use the Service.
1. Description of Service
Overdesk provides a suite of floating desktop widgets designed to support focus, task management, and trading discipline, including a focus/timer tool (Overdesk), an economic calendar and checklist overlay (Overdesk Nexus), and a standalone checklist tool (Overdesk Checklist).
Important: Overdesk is a productivity and organizational tool. It does not provide financial, investment, or trading advice, and nothing in the Service should be interpreted as a recommendation to buy, sell, or hold any financial instrument. Trading involves substantial risk of loss. You are solely responsible for your own trading and financial decisions.
2. License
Subject to your compliance with these Terms and payment of any applicable fees, we grant you a personal, non-exclusive, non-transferable license to install and use the Overdesk application(s) you have purchased, for your own personal or professional use.
You may not:
- Resell, sublicense, rent, or redistribute the Service or your license to any third party
- Reverse-engineer, decompile, or disassemble the software, except where permitted by law
- Share your license or purchased copy with individuals outside your own use
- Use the Service for any unlawful purpose
3. Purchases and Payments
All purchases are processed through Gumroad, a third-party payment platform. By purchasing, you also agree to Gumroad's own terms of service. Overdesk apps are sold as a one-time purchase with no recurring subscription, as described on our pricing page at the time of purchase.
4. Refunds
Refund requests are handled on a case-by-case basis. Please contact us using the details below if you experience an issue with your purchase, and we'll do our best to help.
5. Third-Party Services
The Service may link to or rely on third-party tools, including Gumroad (payments), Kit (newsletter), and Calendly (demo scheduling). We are not responsible for the practices, content, or availability of these third-party services, which are governed by their own terms and privacy policies.
6. Intellectual Property
The Service, including its software, design, branding, and content, is owned by Overdesk and protected by applicable intellectual property laws. Purchasing a license does not transfer ownership of the software to you — it grants you the right to use it under these Terms.
7. Disclaimer of Warranties
The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied. We do not guarantee that the Service will be uninterrupted, error-free, or fit for any particular purpose.
8. Limitation of Liability
To the fullest extent permitted by law, Overdesk shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to trading losses, arising from your use of or inability to use the Service.
9. Termination
We reserve the right to suspend or terminate your access to the Service if you violate these Terms. You may stop using the Service at any time.
10. Changes to These Terms
We may update these Terms from time to time. Continued use of the Service after changes are posted means you accept the updated Terms. We'll update the “Last updated” date above when changes are made.
11. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of [Your Country/State], without regard to conflict of law principles.
